Talks between Dell and a consortium led by its founder and chief executive Michael Dell to take the world's No. 3 PC maker private were still on track on Monday, with negotiations focusing on a price of between $13.50 and $13.75 per share, a person familiar with the matter said.
Talks are in their final stages and an outcome is expected soon, the person said, cautioning that no final agreement had been reached and negotiations could still break down.
Microsoft is expected to invest around $2 billion in the deal, while private equity firm Silver Lake is expected to put in about $1 billion, the source said. Michael Dell is expected to roll over his roughly 16 percent stake and put in some of his own money so he has control of the company, the source added.
Dell and Microsoft did not immediately respond to a request for a comment while Silver Lake declined to comment.

WASHINGTON (AP) ? A proposed agreement on fresh tomatoes imported from Mexico would strengthen anti-dumping enforcement and reset minimum wholesale prices, the Commerce Department said.
The agreement with Mexico's tomato industry would suspend an investigation initiated after Florida tomato growers complained that Mexican producers were selling fresh tomatoes for less than the production cost.
The proposal would replace a pact that's been in place for 16 years. The Commerce Department on Saturday released a draft of the agreement for public comment.
Agriculture Secretary Tom Vilsack says it would allow the U.S. tomato industry "to compete on a level playing field."
U.S. tomato growers are tentatively backing the proposal. Edward Beckman, president of Certified Greenhouse Farmers, said the new agreement must address pricing, coverage and enforcement of trade laws.
"We believe that the Department of Commerce and Mexico have struck a deal that meets those three tests, and we're hopeful and optimistic that we'll be able to compete under fair trade conditions," Beckman said in a statement released Sunday. "Much work remains to have the agreement fully and faithfully implemented, and continuous monitoring and enforcement will be critical.
Florida produces much of the nation's winter tomato supply, and Florida growers were asking the Commerce Department to end the fresh tomato importation trade agreement. The Florida growers claimed their Mexican counterparts have been "dumping" ? selling for less than the cost of production ? their product in the U.S., driving down prices and costing jobs. The growers' complaint had the support of farmworker representatives.
The impact of the agreement on consumers was unknown, but an Arizona-based trade association, which sponsored a pricing study, warned that if Mexican tomatoes withdrew from the U.S. market, the prices for some hothouse tomatoes would double from $2.50 a pound to nearly $5.
Mexico's economic secretary commended his country's tomato growers on the proposed settlement in a tweet Sunday.
"Congratulations to Mexican tomato producers for the agreement reached and the suspension of the U.S. government antidumping investigation," was the statement on the Twitter account of Mexican Economy Secretary Ildefonso Guajardo.
U.S.-produced fresh and processed tomatoes account for more than $2 billion in cash receipts. Mexico's tomato trade with the U.S. was worth more than $1.8 billion in 2011.

MUNICH (AP) ? Israel's defense minister indicated Sunday that his country was behind the airstrike on Syria last week, in the first public comments from his government on the attack that U.S. officials said targeted a convoy carrying anti-aircraft weapons bound for the militant group Hezbollah in neighboring Lebanon.
Israeli Defense Minister Ehud Barak brought the issue up at a gathering of the world's top diplomats and defense officials in Germany, initially saying: "I cannot add anything to what you have read in the newspapers about what happened in Syria several days ago."
But, addressing the audience in English, he then added: "I keep telling frankly that we said ? and that's proof when we said something we mean it? we say that we don't think it should be allowed to bring advanced weapons systems into Lebanon."
In Syria, President Bashar Assad said his military was capable of confronting any "aggression" targeting the country, his first comments since the airstrike.
Syrian state television said Assad spoke during a meeting with visiting top Iranian official, Saeed Jalili.
Assad said Syria is capable of facing current challenges and can "confront any aggression" that would target the Syrian people.
Israel had not previously commented on the strike, but in the days ahead of the attack, Israeli Prime Minister Benjamin Netanyahu and other top officials repeatedly warned of the dangers of Syrian weapons falling into the hands of Hezbollah and other hostile elements in the region.
The Syrian military, meanwhile, said the target of Israeli jets was a scientific research center. The facility is in the area of Jamraya, northwest of Damascus.
Purported images of the targeted site, aired by Syrian state television on Saturday, show destroyed cars, trucks and military vehicles. A building has broken widows and damaged interiors, but no major structural damage.
Following the attack, Syria's ambassador to Lebanon, Ali Abdul-Karim Ali, said Damascus "has the option and the capacity to surprise in retaliation," but that it was up to the relevant authorities to choose the time and place.
Meanwhile, Syrian opposition leaders and rebels on Friday slammed Assad for not responding to the airstrike, calling it proof of his weakness and acquiescence to the Jewish State.
The chief of Iran's powerful Revolutionary Guards said in remarks Sunday that Tehran also hopes Syria will retaliate against Israel for a recent airstrike on its territory.
The report by the official IRNA news agency quotes Gen. Mohammad Ali Jafari as saying, "We are hopeful that Syria gives an appropriate response to the strike in the proper time."
Since the outbreak of the Syrian civil war, Israeli leaders have repeatedly expressed fears that if Syria were to disintegrate, President Bashar Assad could lose control of his chemical weapons and other arms.
On Saturday night, Netanyahu, who is in the process of forming a new ruling coalition, said his new government would have to deal with weapons "being stockpiled near us and threatening our cities and civilians" ? an apparent reference to the deteriorating situation in Syria.
Barak said "Hezbollah from Lebanon and the Iranians are the only allies that Assad has left."
He said in his view Assad's fall "is coming imminently" and when it happens, "this will be a major blow to the Iranians and Hezbollah."
"I think that they will pay the price," he said.

SEOUL, South Korea (AP) ? North Korea is threatening to retaliate for what it calls U.S. double standards over recent rocket launches by Pyongyang and U.S. ally Seoul.
A North Korean Foreign Ministry spokesman did not elaborate on what that might entail in his comments Saturday to the official Korean Central News Agency. But Pyongyang has recently threatened to conduct its third nuclear test in response to what it calls U.S. hostility.
Washington says Seoul's rocket launch Wednesday had no military intent while Pyongyang's in December was a test of banned ballistic missile technology.
The U.N. Security Council has imposed new sanctions on Pyongyang for its launch. Pyongyang says it should be allowed to launch satellites for peaceful purposes.
Both Koreas say their satellites are working properly. U.S. experts say Pyongyang's satellite is apparently malfunctioning.

Malaria in pregnancy causes a range of adverse effects, including abortions, stillbirths, premature delivery and low infant birth weight. Many of these effects are thought to derive from a placental inflammatory response resulting from interaction of infected red blood cells with the placental tissue. In a study published in the latest issue of the journal PLOS Pathogen*, a researchers' team led by Carlos Penha-Gon?alves at the Instituto Gulbenkian de Ci?ncia (IGC), Portugal, observed, for the first time, the mouse placental circulation and showed how it can influence the malaria parasite behavior and infection. Their results indicate a higher accumulation of parasites in placental regions with low blood flow, being these areas more prone to an inflammatory response.
In humans, red blood cells infected with the malaria parasite, Plasmodium falciparum, accumulate in the placenta via interaction with a molecule expressed on the placental tissue ? a process called sequestration. In response to this event, placental cells secrete substances that recruit inflammatory cells leading to placental damage and negatively impacting fetal growth. Until now placental circulation has not been linked to the infected red blood cell sequestration. In fact, it is not trivial to investigate this hypothesis in human placenta, due to technical constraints
Luciana Moraes, an investigator of Carlos Penha-Gon?alves laboratory, has provided new insights to this issue by developing an experimental system that allowed the live observation of the blood flow in the mouse placenta. Mating two strains of mice, one of them with cells stained with a colorful marker, Luciana was able to identify the placental tissue (fetus origin). In collaboration with Carlos Tadokoro's laboratory at the IGC, the investigators developed a microscopy technique that allowed the observation of the placenta in a living mouse. Immediately before exposure to the microscope the mouse was injected with a fluorescent substance that labels the blood. With this set-up it was possible to distinguish maternal blood and placental tissue. The results showed for the first time how the circulation occurs in the placenta, and that the blood flows with different speeds in different regions of the placenta.
Next, the investigators infected red blood cells with the malaria parasite Plasmodium berghei, stained with a different color, and observed ? live ? the behavior of the parasite inside the placenta. They observed that in the areas with higher blood flow, the parasite never stops moving and does not interact with the placental tissue. The accumulation of parasite just occurs in areas of low or absence of flow. In these regions, placental macrophages engulf the infected red blood cells to attempt parasite clearance. Their observations also suggest that movements of the placental tissue may control the blood flow.
Luciana Moraes says: "Our results indicate that binding of infected red blood cells to a molecule expressed in the placenta may not be the only mechanism of parasite sequestration. The dynamics of placental circulation may also play an important role, and should be considered when designing therapeutics."
Carlos Penha-Gon?alves adds: "This is the first study done that shows live how placental blood circulation impacts on the local infection by the malaria parasite. It would be interesting and worthwhile to explore if a similar process occurs in the placenta of humans, taking in consideration that microcirculation in human placenta is quite different."
